Hosting Agreement

TERMS OF USE

Effective Date: March 24, 2025

This Hosting Terms of Use (“Agreement”) is entered into by and between Technology Advanced Services Inc. (“TASProvider,” “we,” “us,” or “our”), a company incorporated under the laws of Ontario, Canada, and you (“Client,” “Customer,” or “User”), in connection with your use of TASProvider’s hosting services (the “Services”).

These Hosting Terms supplement, and are subject to, the TASProvider General Terms and Conditions, https://www.tasprovider.com/terms-of-service/, which are incorporated herein by reference. For any matters not specifically addressed in this Agreement, the General Terms and Conditions shall apply. In the event of a conflict between the two, these Hosting Terms shall govern with respect to the Hosting Services.

TASProvider provides hosting solutions that may utilize third-party infrastructure and platforms. By purchasing, activating, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the TASProvider General Terms and Conditions, and any applicable terms and policies of third-party service providers involved in delivering the Services.

1. ACCOUNT SETUP & CLIENT RESPONSIBILITIES

1.1 Activation

Your hosting account will be provisioned upon confirmation of Your request and successful payment. We may perform fraud screening in cooperation with our payment partners.

1.2 Valid Contact Email

You must maintain an up-to-date, active email address that is independent of any hosted domain(s) to receive critical service communications. TASProvider is not liable for disruptions due to incorrect or outdated contact details.

1.3 Identity Verification

We reserve the right to request government-issued identification and, for high-risk transactions, additional payment verification.

1.4 Domain Registration & Management If TASProvider registers a domain on Your behalf, You are responsible for ensuring the accuracy and timely renewal of domain information.

1.5 Compliance with Law You are solely responsible for ensuring that Your use of the Services complies with applicable municipal, provincial, federal, and international laws and regulations.

2. ACCEPTABLE USE POLICY (AUP)

2.1 Prohibited Content

You may not host, store, or distribute content that:

● Violates Canadian or international laws.

● Infringes on intellectual property rights.

● Is defamatory, discriminatory, or incites violence or hatred.

● Contains or transmits malware, viruses, or malicious scripts.

● Involves child exploitation or pornographic material.

2.2 Resource Usage Accounts that excessively consume bandwidth, CPU, or RAM may be throttled, suspended, or terminated. TASProvider reserves the right to enforce usage limits to maintain server integrity.

2.3 Email & Spam Policies Sending unsolicited bulk emails or spam is strictly prohibited. Violations may result in immediate termination and a $200 administrative clean-up fee.

2.4 Data Backups We provide backup tools as part of our service offering; however, Clients are fully responsible for managing their own backups. TASProvider accepts no liability for data loss.

2.5 Restricted Activities

You may not use the Services for:

● Unauthorized access to networks or systems.

● Hosting proxies, VPNs, or torrents unless explicitly authorized.

● Distributing pirated or unlicensed content.

● Engaging in phishing, fraud, or deceptive practices.

TASProvider reserves the right to suspend or terminate Services, without notice, if prohibited activities are detected.

3. FEES, BILLING & CANCELLATION

3.1 Pricing All hosting fees are billed in advance and are subject to change with a minimum of 30 days’ notice.

3.2 Renewals Unless canceled at least 30 days before renewal, services will renew automatically at the prevailing rate.

3.3 Late Payments Accounts overdue by more than 7 days may be suspended. A 2% late payment fee will apply, and restoration may incur additional costs.

3.4 Refunds & Cancellations

30-Day Money-Back Guarantee: Refund requests within 30 days of activation will be honored, excluding fees for domain names and SSL certificates.

No Refunds will be issued for accounts terminated due to policy violations.

● All cancellations must be verified through TASProvider support.

4. SERVICE LEVEL AGREEMENT (SLA)

4.1 Uptime Commitment

TASProvider offers a 99.9% network uptime guarantee. Downtime beyond this threshold may qualify for service credits.

4.2 Credit Eligibility

For every full hour of unplanned downtime beyond the SLA, Clients may request a prorated one-day credit, up to a maximum of one month.

4.3 SLA Exclusions

Uptime guarantee does not apply to downtime resulting from:

● Scheduled maintenance.

● Misuse or misconfiguration by the Client.

● Third-party software issues or failures.

● Cyberattacks or force majeure events.

● Violations of this Agreement.

5. ACCOUNT SUSPENSION & TERMINATION

5.1 Grounds for Suspension

Accounts may be suspended for:

● Non-payment or overdue invoices.

● Violations of the Acceptable Use Policy.

● Resource abuse affecting service stability.

● Security threats or detected malicious activity.

5.2 Termination Criteria

We may terminate accounts where:

● Policy violations are not remedied within 5 business days.

● TASProvider determines that continued service poses a security, legal, or operational risk.

5.3 Data Retention

Upon termination, data may be deleted without notice. Clients must ensure they maintain backups prior to account closure.

6. LIMITATION OF LIABILITY

6.1 No Warranty

Services are provided “as is” without warranties of any kind, including merchantability or fitness for a particular purpose.

6.2 Liability Cap

TASProvider’s total liability for any claim arising from the Services shall not exceed the amount paid by the Client in the preceding six (6) months.

6.3 Indemnification

You agree to indemnify and hold harmless TASProvider and its affiliates from any liabilities, claims, or damages arising from:

● Your use of the Services.

● Content hosted on Your account.

● Breaches of this Agreement.

7. AMENDMENTS TO THIS AGREEMENT

TASProvider reserves the right to update or modify these Hosting Terms at any time. Continued use of the Services signifies acceptance of the revised terms.

8. FINAL PROVISIONS

International Clients

By using the Services, you acknowledge and agree that your data may be transmitted, stored, or processed outside your country of residence, including in Canada, the United States, the United Kingdom, or other jurisdictions. You understand and accept that data protection laws may vary by country and agree to such transfers, provided they are consistent with applicable data protection laws.
